Welcome to EDPinc.ca, including its Facebook, LinkedIn, Google, Instagram, Twitter and other social media pages (hereinafter referred to as the “Website”) including Éclairage Dimension Plus Inc. (“EDP”) is the owner and administrator. These Terms and Conditions of Use (hereinafter the “Terms of Use”) constitute a legal agreement between you and EDP regarding access to and use of the Website.

1. Acceptance of Terms of Use

When you browse the Website or use one of its features (hereinafter the “Features”), you agree to be bound by these Terms of Use. IF YOU DO NOT WISH TO ACCEPT THE TERMS OF USE, PLEASE DISCONTINUE ALL USE OF THE WEBSITE.

EDP makes no representation that the any part of its Website may be used anywhere else than the province of Quebec and it is prohibited to access the Website from territories where the legislation would provide that the content or use of the Website is illegal. Those who choose to use the Website do so on their own initiative and are responsible to comply with all applicable local laws. Any claim relating to the Website and the elements it contains, or arising from the use of the Website, shall be governed by the laws applicable in the territory of the province of Quebec.

2. Termination

EDP reserves the right to terminate the Terms of Use and/or your right to browse and use the Website or any part thereof or the Features or any of them, at any time, without motive and without notice, at its sole discretion.

3. Personal Information

Some of the Features available on the Website require the communication of personal information or a subscription (newsletter, comment tool, application submission in the career section, etc.) If you choose to provide such information to us or to subscribe to such a Feature you agree to provide truthful information that only concerns you, as required by the Feature you have chosen. All Submitted Materials are subject to these Terms of Use and EDP shall not be liable if the information submitted does not comply with these Terms of Use or for any loss or damage arising therefrom.

4. Intellectual Property

Éclairage Dimension Plus Inc., EDP and EDPinc.ca are domain names, trademarks and intellectual property belonging to EDP. Other names, words, titles, phrases, logos, designs, graphics, icons and trademarks and other intellectual properties displayed on the Website may constitute intellectual properties belonging to EDP or third parties. No element contained in the Contents, the Website or in the Features may be interpreted in such a way as to grant you a license or a right to use any logo, design or intellectual property belonging to EDP or to third parties.

All articles, text, illustrations, images, photographs, information, audio clips, video clips, software, software incorporated into or found on the Website and the Features, including, in particular, any type of programming code, including all the files and/or images contained or generated by this software and the codes available on the Website (hereinafter the “Content“), including the way in which the Content is presented, are protected by Quebec, Canadian and foreign laws, in particular with regard to copyright and belong to EDP, its affiliated companies, its licensors and/or the supplier of the Content . The Website is protected under applicable intellectual property legislation within the meaning of Quebec, Canadian and foreign laws. You agree to abide by all other legal notices, information, or restrictions on or in the Content that you may access through the Website and/or Features. EDP grants you a non-exclusive and non-transferable license to use and display the Website and/or the Features on your computer or other electronic device solely for the purpose of representation on a single-user screen, in one copy, without a backup copy or print on paper, except for personal and non-commercial use, provided that you do not modify the Content and that you comply with applicable laws. MODIFICATION, REPRODUCTION, DISTRIBUTION, TRANSMISSION, DIFFUSION, REPRESENTATION, REPRODUCTION, NETWORKING, COMMERCIALIZATION, PUBLICATION, GRANTING OF LICENSE, PUBLIC PERFORMANCE, DOWNLOADING, DERIVATIVE WORK CREATION, POSTING ON THE INTERNET, SALE OR ANY EXPLOITATION OF THE WEBSITE, CONTENT OR FEATUREALITY, INCLUDING, WITHOUT LIMITATION, KEEPING IN A CACHED SERVER OR BY ANY OTHER MEANS, IS PROHIBITED.

Nothing on the Website, the Content or the Features shall be construed as conferring on you any right, title, interest or other license in the Contents, the software integrated into the Website, in the Features or the Contents which may be downloaded from the Website, including any intellectual property rights in Content.

5. Liability for minors

In the event that you have authorized a minor to browse the Website or use the Features, you acknowledge that you are responsible for: i) their online behaviour; (ii) to control its access to and use of the Website and/or the Features; and iii) the consequences of any misuse of the Website and/or the Features by the minor. We recommend that you exercise reasonable supervision over the use of the Website and the Features by minors under your care.

6. Limitation of Liability and Submitted Materials

The Website offers you features that allow you to post messages, data, text, sounds, photographs, images, videos and other materials (hereinafter referred to as “Submitted Materials“) and in certain cases to submit or interact with EDP, its employees and agents and other users.

While every effort is made to provide you with quality content throughout this Website, some inaccuracies or typographical errors may occur. EDP and its partners cannot under any circumstances be held responsible for these errors. Unless otherwise stipulated, articles, reviews or other texts submitted by a visitor and published on this Website reflect only the personal opinions of their authors and are not shared by EDP or its partners. EDP and its partners can in no way be held responsible for the Content or Submitted Materials disseminated on this Website. EDP and its partners make no guarantees with regard to the Website and cannot in any way be held responsible for the content available or the services offered therein. EDP and its partners reserve the right to modify the content of the Website or to interrupt access to it, to withdraw the Submitted Material, to erase it, to delete it, in whole or in part, at their discretion and without notice, including the right to cease all activity on the Website with or without notice, without incurring any liability to the visitor. The Website, the content and the services offered therein are provided “as is” and “as available”. EDP and its partners make no representations and offer no express or implied warranties as to the operation of the Website or the services offered therein.

When you submit Submitted Material to EDP, you grant EDP and its successors an unlimited, irrevocable, non-exclusive, perpetual, worldwide license, free of charge: i) to use, reproduce, store, adapt, translate, modify, create derivative works, transmit, distribute, authorize public performance or make available to the public of the Submitted Material for any purpose; and (ii) sublicence to third parties the unlimited right to exercise any of the aforementioned rights. In addition to granting the foregoing license, you hereby (i) agree to waive all moral rights in the Submitted Materials in favour of EDP; (ii) consent to your name, address and email appearing in the Submitted Materials, if any, and to the disclosure and/or display of such information; iii) acknowledge and agree that EDP and its successors in title shall not be liable for any loss, damage or corruption of the Submitted Material; and (iv) acknowledge and agree that submissions you did for posting on the Website or submit to EDP will be considered non-confidential.

You represent and warrant to EDP that: (i) the Submitted Material is original; (ii) the Submitted Material does not infringe any intellectual property right, including but not limited to copyright; (iii) you are the sole owner of all intellectual property rights, including but not limited to copyright, in the Submitted Material or, where applicable, you have obtained the owner’s written permission to submit the Submitted Material; iv) the Submitted Material does not contain any defamatory remarks, any obscenity and does not violate the right of a third party to privacy and/or image.

No compensation will be paid with respect to the use of your Submitted Material. EDP is under no obligation to post or use any Submitted Materials you provide and EDP may choose to remove them at any time in its sole discretion.

7. Netiquette

When you interact with EDP, its employees and agents or other users, you agree to comply with the “Rules of Netiquette” which form an integral part of the Terms of Use.

EDP encourages you to share, comment and exchange on the publications of its Website and its Facebook, LinkedIn, Google, Instagram, Twitter and other social media pages. We therefore rely on your good judgment to show courtesy and respect in your comments on all our platforms.

Your use of the Website is therefore subject to these “Rules of Netiquette”:

  • All comments will be read and considered. Regardless of your age, sex or ethnic origin, you can comment on our publications at any time;
  • To post a comment, enter your first name, last name and email (email not published on the site);
  • EDP reserves the right to delete without notice a comment that is deemed to be defamatory, hateful, racist, xenophobic, homophobic, sexist, disgraceful or simply off topic or that we consider is not perceived in a polite and respectful manner by EDP or other users;
  • Comments deemed insulting or offensive, or repeatedly sent will be deleted without notice;
  • Any conversation that takes the form of a dialogue between several people who call each other without regard to other users will not be tolerated;
  • The exclusive use of capital letters in a message will not be tolerated, as it is considered a shout;
  • The use of hyperlinks to external sites is authorized, provided that the content is related to the subject and is not of a commercial/promotional nature. Note that EDP is not responsible for the content of external sites;

  • Finally, EDP reserves the right to ban a user who does not respect our Netiquette, or to modify these rules of use at any time, without prior warning.

8. Offer and Availability of Products

The Website offers products from its suppliers. The presence of a product on the Website does not guarantee its availability in the inventory or at our suppliers and is only represented for informational purposes without commitment on our part. EDP cannot in any way be held responsible for any damage suffered due to a shortage of stock.

EDP, its affiliates and their directors, employees, agents, licensors or their respective successors and assigns, disclaim all liability for the acts, omissions or conduct of any third party user of the Website, the Features and the Content and shall in no event be liable for any injury, loss, damage (including, but not limited to, special, consequential or incidental damages) or costs arising in any way i) from the acts, omissions or conduct of any third party user ; and (ii) the use of or inability to use any software, content, goods or services of a site or offered through a site linked to the Website.

10. No Advice

The Website may, from time to time, make available information related to various aspects of products displayed or produced. Nothing on the Website should be considered as a treatment, advice, opinion, recommendation or other professional advice. The information is provided for recreational and entertainment purposes only and should in no way be construed as a recommendation for any particular application, product or course of action. Use of the Website should not replace consultations with a qualified professional.

11. Hyperlinks to Third-Party Sites

The Website contains hyperlinks to third-party sites (hereinafter referred to as “Third-Party Sites“) which cause you to leave the Website. EDP provides these hyperlinks for your convenience. Third Party Sites are not under the control of EDP and hyperlinks cannot be construed as an approval or endorsement of their content by EDP. EDP is not responsible for the operation of the hyperlinks, the content of Third-Party Sites, the links they contain, nor any changes or updates made to them and EDP offers no guarantee with regard to them.

EDP encourages hyperlinks to the Website. However, it does not wish to be linked to any Third Party Site i) that contains content constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise be a violation of any law or regulation from a local, provincial, national or international authority, which is likely to harm or damage the activities, credibility or integrity of EDP or which contains, displays or transmits any material or information which exceeds the moral and/or legal standards of the Canadian society; or (ii) contains, displays or transmits any information, software or other material that violates or infringes the rights of others, including material that constitutes an invasion of privacy or publicity rights, or that is protected by copyright, trademark or other proprietary right. EDP reserves the right to prohibit or refuse to accept a hyperlink to the Website at its sole discretion, at any time. You agree to remove any hyperlink you may control to the Website upon EDP’s request.

13. Use of Computer Bots

You acknowledge that the use of computer bots, including but not limited to web bots, is prohibited for any purpose whatsoever in connection with the Website.

14. Cookies 

EDP informs you that one or more cookies or measurement tools may be placed on the hard drive of the computer from which you are browsing the Website. Cookies record information relating to browsing on the Website made from the computer on which the cookie is stored. Under no circumstances are cookies intended to use personal information about you. You can oppose the use of cookies on the hard drive of the computer from which you are browsing the Website by modifying the options for the browser software used on said computer and on the Website.

You acknowledge that EDP has no obligation to monitor the Website or any content accessible through the Website. However, you acknowledge that EDP has the right to monitor the Website electronically, in its sole discretion, and to disclose any information necessary to comply with any law, regulation or governmental request, in order to be able to operate the Website properly or in order to protect itself or its users under the “Privacy Policy.”

16. Jurisdiction

The policy of use of the Website and the relationship between the visitor and EDP are governed by the laws of the Province of Quebec, Canada. The parties agree to elect a domicile in the judicial district of Montreal, Province of Quebec, Canada and choose this as the appropriate district for the hearing of any claim arising from the interpretation, application, performance, entry into force, validity and effects of these Terms of Use.
